GroTech Search Referral Programme — Terms & Conditions

GroTech Search refers to GroTech Search Ltd.

Referrer means any individual or organisation submitting a referral through the Programme.

Referred Client means a company introduced to GroTech Search by the Referrer for the purpose of recruitment services.

Recruitment Fee means the placement fee actually received by GroTech Search from the Referred Client, excluding VAT, expenses and any applicable taxes.

Qualifying Placement means a successful placement completed by GroTech Search where the relevant Recruitment Fee has been paid in full by the Referred Client.

• The Programme is open to individuals and businesses aged 18 years or over.
• Employees of GroTech Search are not eligible to participate unless expressly authorised by the Company.
• GroTech Search reserves the right to refuse participation at its sole discretion.

A referral qualifies only where:

• the Referrer introduces a company that is genuinely seeking recruitment support;
• GroTech Search has not previously been engaged in active discussions with that company within the preceding 12 months;
• the referral is submitted before any direct contact between GroTech Search and the Referred Client regarding the relevant recruitment requirement;
• the referral contains sufficient information for GroTech Search to make contact.

GroTech Search will determine, acting reasonably, whether a referral qualifies.

Where multiple parties refer the same company, only the first qualifying referral received by GroTech Search will be eligible for commission.

GroTech Search's records shall determine the order in which referrals were received.

For each Qualifying Placement made with a Referred Client during the first twelve (12) months following the qualifying introduction, the Referrer will receive:

20% of the Recruitment Fee actually received by GroTech Search (excluding VAT and taxes).

No commission is payable until:

• the placement has commenced;
• the applicable invoice has been paid in full by the client; and
• any applicable rebate or guarantee period has expired.

Commission is calculated only on fees actually received by GroTech Search.

If the Referred Client hires multiple candidates through GroTech Search within twelve (12) months of the qualifying introduction, the Referrer will receive commission on each Qualifying Placement during that period.

After the initial twelve-month period, no further commission shall be payable unless otherwise agreed in writing.

Referral payments will be made within thirty (30) days of:

• receipt of cleared client funds; and
• receipt of any information reasonably required to process payment.

Payments may be made by bank transfer or another method determined by GroTech Search.

The Referrer is solely responsible for declaring and paying any taxes arising from referral payments received.

GroTech Search accepts no responsibility for any tax liabilities of Referrers.

No referral payment will be made where:

• the Referred Client is already an existing client of GroTech Search;
• GroTech Search has had substantive commercial discussions with the Referred Client within the previous twelve (12) months;
• the opportunity was already known to GroTech Search before the referral.

GroTech Search retains sole discretion regarding:

• whether to pursue a referral;
• whether to enter into commercial discussions;
• whether to accept recruitment instructions;
• candidate selection;
• recruitment methodology; and
• commercial terms agreed with clients.

Submission of a referral does not guarantee that GroTech Search will engage with the referred company.

Information relating to recruitment processes, client negotiations, placement fees and commercial arrangements remains confidential.

GroTech Search may provide reasonable updates regarding referral progress but is not obliged to disclose confidential commercial information.

Where personal information is submitted, the Referrer confirms that they have lawful authority to share those details with GroTech Search or have obtained the individual's consent to do so.

Personal information will be processed in accordance with GroTech Search's Privacy Policy and applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.

Referrers are responsible for ensuring that participation in the Programme does not breach:

• their employment contract;
• any confidentiality obligations;
• internal employer policies;
• applicable anti-bribery or anti-corruption laws.

GroTech Search accepts no liability where a Referrer participates contrary to such obligations.

GroTech Search reserves the right to refuse or withhold payment where it reasonably believes:

• information supplied is false or misleading;
• referrals are generated through spam or automated methods;
• referrals are made in bad faith;
• the Programme is being abused.

GroTech Search may amend, suspend or withdraw the Programme at any time.

Any changes will not affect referral payments already earned under these Terms before the date of amendment.

To the fullest extent permitted by law, GroTech Search shall not be liable for:

• indirect or consequential losses;
• loss of profit;
• loss of opportunity;
• any decision not to pursue a referral.

Nothing in these Terms excludes liability that cannot legally be excluded.

These Terms are governed by the laws of England and Wales.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
